TERMS OF USE AND PRIVACY POLICY

Effective Date: December 18, 2025

These Terms of Use (“Terms”) are a legal agreement between you (“you,” “user”) and Qi Balance LLC, the operator of the WaQi Health platform (“WaQi,” “we,” “us,” or “our”). By accessing or using any WaQi Health or WaQi website, class, program, content, or digital service (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.

1. Medical Disclaimer and Release

The Services include instruction in movement, qigong, meditation, and related wellness practices. You understand and agree that:

 (a) WaQi is not a licensed medical provider and does not provide medical advice.
 (b) The Services are not a substitute for professional medical diagnosis or treatment.
 (c) You are solely responsible for consulting a physician before beginning any exercise program.
 (d) You must stop immediately if you experience discomfort, dizziness, or pain.
 (e) Participation is voluntary and at your own risk.
 (f) You represent and warrant that you are 18 years or older or accessing the Services with parental or guardian supervision.

2. Intellectual Property and Proprietary Rights

All content provided through the Services—including but not limited to video, audio, written materials, meditations, images, instructional sequences, class structures, pedagogical methods, verbal cues, explanations, progressions, and teaching frameworks—is owned exclusively by WaQi and/or Dr. Yang Yang.

Nothing in these Terms transfers ownership to you. You receive only a limited, revocable license for personal, private, non-commercial use.

3. Prohibited Uses

You are strictly prohibited from:

 – Teaching any movement, sequence, qigong set, taiji form, meditation, or pedagogy derived from WaQi
 – Renaming, reorganizing, modifying, blending, or creating derivative systems based on WaQi content
 – Using WaQi’s trade dress, internal structure, progression, skill paths, or class architecture

For clarity, while WaQi does not claim ownership of traditional taiji or qigong sequences in their historical form, WaQi exclusively owns all original instructional methods, interpretations, verbal cues, pedagogical frameworks, applications, refinements, progressive skill systems, and any new or synthesized sequences created by Dr. Yang Yang. Users are strictly prohibited from teaching, reproducing, adapting, reinterpreting, or creating derivative works based on any of WaQi’s original interpretations or new sequences, even when such material begins from a traditional root.

4. Unauthorized Teaching and Instructor Status

WaQi content is for personal, private use only. You shall not teach, demonstrate, coach, transmit, or otherwise convey any WaQi material to others in any setting, whether paid or unpaid.

WaQi does not currently maintain an active instructor-certification program. No individual is authorized to teach WaQi content unless they hold explicit written permission from Dr. Yang Yang. Past participation in instructor-development programs or historical certifications does not grant ongoing teaching rights.

Any violation terminates your license to use the Services immediately.

5. Account Responsibilities

You agree to:

 – Provide accurate and complete information
 – Maintain the confidentiality of your login credentials
 – Not share your account with any individual, group, or organization

Screen sharing, group viewings, or shared access is prohibited. WaQi may suspend or terminate accounts that violate these Terms.

6. AI Use Restrictions

You shall not upload, submit, stream, scrape, transcribe, or otherwise provide any WaQi content—including video, audio, images, text, meditations, or instructional sequences—to any AI system, training dataset, machine-learning model, or generative tool.

You shall not use AI to imitate, clone, replicate, or generate derivative forms of Dr. Yang Yang’s voice, image, likeness, movements, pedagogy, or teaching style.

Violations may result in immediate termination and legal action.

7. Deepfake, Voice, Image, and Likeness Protection

You are prohibited from creating or assisting in the creation of deepfakes, synthetic media, or digital reproductions of Dr. Yang Yang’s image, voice, movements, or teaching style.

8. Content Protection and Anti-Recording Policy

You may not record, download, screen-capture, rebroadcast, repost, store, or distribute any WaQi content. All such actions constitute copyright infringement.

9. Modifications to Services

WaQi may modify, suspend, or discontinue the Services at any time, with or without cause.

10. Termination

WaQi may terminate your access immediately for AI misuse, unauthorized teaching, recording or downloading content, derivative-work creation, or competitive or unauthorized commercial use. No refunds will be issued for terminated accounts.

11. Injunctive Relief

Disputes involving intellectual property, unauthorized teaching, AI misuse, or unauthorized reproduction may be subject to immediate injunctive relief without requirement of bond. WaQi may seek a court order stopping the conduct immediately. In such event, WaQi shall be entitled to recover its reasonable attorneys’ fees and costs incurred in such legal action.

12. Liquidated Damages

Unauthorized reproduction, teaching, distribution, or AI misuse of WaQi content will result in liquidated damages of no less than $25,000 per violation, which the parties agree represents a reasonable estimate of damages given the difficulty of calculating actual harm, recognizing that actual damages may be higher.

13. Indemnification

You agree to indemnify, defend, and hold harmless WaQi, Qi Balance LLC, Dr. Yang Yang, and their officers, employees, contractors, successors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

 (a) your breach of these Terms;
 (b) your misuse of the Services;
 (c) your unauthorized teaching, reproduction, or distribution of WaQi content;
 (d) your use of WaQi content with AI systems or automated tools; or
 (e) any allegation that your conduct infringes upon or violates the rights of any third party.

This indemnification includes WaQi’s right to recover its reasonable attorneys’ fees and costs associated with any such violation.

14. Refund Policy

All purchases, subscriptions, class passes, and digital products are final unless a refund is expressly stated at the point of sale. No retroactive refunds, credits, or substitutions are provided except where required by law.

15. Dispute Resolution; Binding Arbitration; Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to the Services or these Terms, or the breach, termination, enforcement, or interpretation thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined exclusively by binding arbitration. The arbitration shall be administered by the American Arbitration Association (AAA) or JAMS, in accordance with their respective Commercial Arbitration Rules. The arbitration shall take place exclusively in New York, New York. The arbitrator's decision shall be final, binding, and enforceable, and judgment may be entered on such arbitrator's decision in any court of competent jurisdiction. The parties agree to resolve all disputes individually and waive their right to participate in a class action or representative proceeding. The parties irrevocably waive their right to trial by jury. New York law shall apply to this transaction.

16. Miscellaneous

These Terms constitute the entire agreement between you and WaQi regarding the Services. Failure to enforce any provision does not waive any rights. If any provision is found unenforceable, the remainder shall remain in full force and effect.

PRIVACY POLICY

This Privacy Policy explains how Qi Balance LLC (“WaQi,” “we,” “us,” or “our”) collects, uses, and protects information obtained through WaQi Health websites, classes, and digital services (the “Services”). By using the Services, you agree to this Policy.

1. Information We Collect

We collect:

 – Name, email, and account information
 – Subscription and payment history
 – Device data, browser type, and IP address
 – Usage data (e.g., time spent, navigation patterns)
 – Cookies and analytics data
 – Video interaction data (e.g., plays, pauses, timestamps)

2. How We Use Your Information

We use information to:

 – Operate and maintain the Services
 – Personalize your experience
 – Improve performance and user flow
 – Process payments
 – Provide customer support

Aggregated, anonymized analytics may be used to improve the platform, but not for AI training.

3. AI and Data Restrictions

WaQi does not use personal, behavioral, or aggregated user data to train AI models. WaQi does not sell or license user data for AI training. Users may not upload WaQi content or internal data to AI systems.

4. Sharing of Information

We share information only with:

 – Payment processors
 – Cloud hosting providers
 – Video hosting and streaming providers (e.g., Zoom, Vimeo, AWS, or comparable services)
 – Analytics providers
 – Customer support platforms

All service providers are prohibited from selling data or using it for AI training.

5. Data Security

We use commercially reasonable safeguards to protect data. However, no system is completely secure, and you use the Services at your own risk.

6. Retention and Deletion

We retain data as long as necessary to operate the Services or comply with legal obligations. You may request deletion, subject to identity verification and applicable law.

7. User Rights

Depending on your jurisdiction, you may request access to, correction of, deletion of, or restriction of processing of your personal data.

8. Third-Party Links

The Services may contain links to third-party websites. WaQi is not responsible for their privacy practices.

9. Children’s Privacy

The Services are not intended for individuals under age 18 without parental or guardian involvement.

10. Updates to This Policy

We may update this Privacy Policy from time to time. Continued use of the Services constitutes acceptance of any changes.
